1. Acceptance of Terms

By accessing or using the website and services of Dongguan Binhar Clothing Co., Ltd. ("Binhar," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access our website or use our services.

2. Description of Services

Binhar is a professional ODM/OEM manufacturer specializing in women's fashion, including bandage dresses, evening dresses, and luxury apparel. Our services include product design, sample development, bulk manufacturing, quality control, and international shipping.

3. Business Inquiries and Quotations

When submitting inquiries or requesting quotations:

• All quotations provided are estimates and subject to change based on final specifications, materials, and order quantities.
• Quotations are valid for 30 days unless otherwise specified.
• Prices are quoted in USD and do not include shipping, customs duties, or taxes unless explicitly stated.
• Minimum Order Quantities (MOQ) apply to all products and may vary by style and complexity.

4. Orders and Payment Terms

Order processing and payment are governed by the following terms:

• Order Confirmation: Orders are confirmed only upon receipt of a signed purchase order or written confirmation and the required deposit payment.
• Deposit: A deposit of 30-50% of the total order value is required before production begins.
• Balance Payment: The remaining balance must be paid before shipment, unless credit terms have been agreed upon in writing.
• Payment Methods: We accept bank transfers (T/T), Letters of Credit (L/C), and other mutually agreed payment methods.

5. Production and Delivery

Production lead times are estimated based on order specifications and current factory capacity. While we strive to meet all delivery deadlines, we are not liable for delays caused by factors beyond our reasonable control, including but not limited to material shortages, natural disasters, labor disputes, or transportation disruptions. Delivery terms (FOB, CIF, etc.) will be specified in the commercial invoice.

6. Sample Development

Sample charges apply to all new style development. Sample costs may be credited against bulk orders meeting the agreed MOQ. Sampling lead time is typically 7-15 working days depending on complexity. Clients are responsible for providing clear technical specifications, design references, and approving samples before bulk production.

7. Quality Assurance

We maintain strict quality control processes throughout production. All products are inspected before shipment according to agreed-upon quality standards. Clients may arrange third-party inspections at their own expense with prior notification. Quality claims must be submitted within 14 days of receipt of goods with photographic evidence.

8. Intellectual Property

Regarding intellectual property rights:

• Designs provided by clients remain the property of the client. We will not use, reproduce, or share client designs with third parties without written permission.
• Original designs developed by Binhar remain our intellectual property unless otherwise agreed in writing.
• Clients warrant that designs provided do not infringe on third-party intellectual property rights and shall indemnify Binhar against any related claims.

9. Confidentiality

We agree to maintain the confidentiality of all business information, designs, and trade secrets shared by clients. This obligation survives the termination of any business relationship. Clients also agree to maintain confidentiality regarding our pricing, manufacturing processes, and proprietary information.

10. Limitation of Liability

To the maximum extent permitted by law, Binhar shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or products. Our total liability shall not exceed the total amount paid by you for the specific order in question.

11. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations due to circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, war, government actions, material shortages, or transportation disruptions.

12. Dispute Resolution

Any disputes arising from these terms or our business relationship shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be submitted to arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC) in Shenzhen, China. The arbitration award shall be final and binding.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.

14. Website Use

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to any part of the website
• Copy, reproduce, or distribute website content without permission
• Submit false or misleading information
• Interfere with the proper functioning of the website
